Welcome to Osmo! Please read these Terms of Use and our Privacy Policy available here (collectively, the "Terms") carefully, as you agree that you consent to these Terms by your use of this website and Osmo's services, as described further below.
These Terms are entered into by and between you and Thrivium Inc. doing business as "Osmo" ("Osmo," "we," "our," or "us"), and they govern your access to and use of our website, www.osmo.coach, platform, proprietary web-based system, app.osmo.coach, and related technology and tools (collectively, the "Platform") and the services we offer through our Platform (collectively, the "Services"), whether as a coach, client, or website visitor. Depending on your role, the Services may be offered to you for your internal business, commercial, or personal use.
Please read the Terms carefully before you start to use the Platform and the Services. By using the Platform and the Services, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms. If you do not agree to these Terms, you may not access or use the Platform or any Services, but please get in touch with us so we can try to help.
You must be 18 years or older to use the Platform and Services. If you are under 18, please do not register or use the Services.
We reserve the right to change, alter, replace or otherwise modify these Terms at any time. When we do, we'll post the updated version on our website and update the "Last Updated" date on the bottom of the Terms. For significant changes, we'll notify you directly (by email or in-app message). Your continued use of Osmo indicates your acceptance of the updated Terms.
Osmo provides a digital platform for coaching, scheduling, and communication. You provide or provide Osmo (or in the instance of a client, your coach) with access to the necessary information the Platform needs to provide you with the Services (the "User Data"). Osmo does not control the User Data collected or utilized, and it also does not control what you choose to give Osmo access to through the Platform.
You may use the Platform and the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Platform or the Services:

Osmo reserves the right to suspend or terminate accounts that violate these Terms.
We may update the content on the Platform or the Services offered through it from time to time, but their content is not necessarily complete or up-to-date. Any of the material on the Platform or Services offered through it may be out of date at any given time, and we are under no obligation to update such material.
The Platform may contain interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit (hereinafter, "post") content or materials, including your personal data (collectively, "User Contributions") to us or to other users (including coaches) on or through the Platform.
Any User Contribution you post to the Platform will be considered non-confidential and non-proprietary with regard to other users for whom you decide to share such information. By providing any User Contribution on the Platform, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, copy, modify, create derivative works of, and otherwise disclose such User Contribution in accordance with these Terms, including Osmo's ability to collect and compile data and information related to your use of the Services in either an aggregated and anonymized or non-anonymized manner (the "Aggregated Statistics").

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Osmo, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.
We are not responsible, or liable to any third party, for the content or accuracy of any User Contributions posted by you or any other user of the Platform.

You are responsible for all activity that occurs under your account.
We do not warrant the accuracy, completeness, or usefulness of any information on the Platform or obtained through the Services. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other user of the Platform, or by anyone who may be informed of any of its contents.
The Platform may include content provided by third parties, including materials provided by a coach or a client, artificial intelligence, and third-party licensors, syndicators, aggregators, and/or reporting services. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by Osmo, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Osmo. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties, including content provided by third parties.
Through the Platform, you have the ability to establish a professional coaching relationship with users of the Platform (including working with a coach that invites you to access the platform or working with a client that you invite to access the Platform). Should you decide to pursue a professional coaching relationship with any of the users engaged through the Platform, that professional relationship is between you and the individual user. You understand and agree that Osmo is not a party to any such agreement for coaching services you discuss and pursue between you and the other user.
You and the user may enter into any agreement that you deem appropriate, provided that any such agreement does not conflict with, narrow, or expand Osmo's rights and obligations under these Terms.
Any professional relationship that you establish with another user on or through the Platform, as well as all information that you share with that user as part of this relationship, may be bound to confidentiality, but is not considered a legally confidential relationship. You shall be prohibited from disclosing any information pertaining to another User that you engage through the Platform without their express written consent, however, you may disclose to Osmo whether or not you are engaging specific users and provide information only to the extent necessary to access and use the Services. Any complaints about the coaching relationship should be conveyed in writing to Osmo (email shall suffice). Further, you shall be prohibited from using the name, image, or likeness of another user that you engage through the Platform, for any purpose whatsoever, including advertising and promotional purposes, without the express written permission of the Platform user and Osmo (email from both parties shall suffice).
THE SERVICES OFFERED THROUGH THE PLATFORM ARE NOT TO INCLUDE LICENSED PSYCHOLOGY, HEALTH CARE, OR OTHER WORK FOR WHICH A PROFESSIONAL LICENSE IS REQUIRED, REGARDLESS OF ANY PROFESSIONAL CERTIFICATIONS THAT YOU MAY HAVE. FURTHER, YOU UNDERSTAND THAT THE SERVICES PROVIDED BY YOU TO ANOTHER USER ON THE PLATFORM IS IN NO WAY TO BE PURPORTED AS A SUBSTITUTE FOR ANY TYPE OF THERAPY OR MEDICAL ADVICE, AND IF SUCH SERVICES ARE NEEDED, YOU SHALL ENCOURAGE THE USERS YOU WORK WITH TO ENGAGE THE SERVICES OF QUALIFIED, LICENSED PROFESSIONALS.
Depending on your role, you may be charged fees for your use of the Platform and the Services. You will be clearly notified before incurring any charges through the Platform or use of the Services. By submitting payment information, you authorize us (and our third-party processors) to process your payment securely.
Osmo reserves the right to modify its fee structure at any time and without advanced notice. Temporary or permanent modifications are effective as soon as they are published on the Platform and are applicable to all subsequent transactions. In the case of temporary modifications, the duration of the changes will be clearly indicated on the Platform.
Throughout your access to the Services and the Platform, you may provide access to and disclose to Osmo or another Osmo user certain valuable information belonging to and relating to you, which you consider confidential, including, but not limited to your User Data. Osmo shall use your confidential information solely for the purposes of carrying out its obligations under these Terms, and shall not disclose, without your prior written consent, any confidential information to third parties or use such confidential information for its own benefit or the benefit of third parties except as expressly permitted in these Terms and the Privacy Policy.
You may close your account at any time by contacting support or through your account settings.
We may suspend or terminate your access immediately (with or without notice) if you:
Upon termination, your right to use the Service ceases immediately. Some data may be retained as outlined in our Privacy Policy.
The Platform, Osmo, and the Services offered through it, and its original content, design, and technology are owned by Thrivium Inc. (doing business as "Osmo") or its licensors and are protected by copyright and trademark laws.
You may not use Osmo's trademarks, logos, or materials without written permission. You retain ownership of your own content, but you grant Osmo a limited license to store, process, and display it for the purpose of operating the Service.
Subject to the Terms, Osmo grants you a nonexclusive, nontransferable license to access the Platform and use the Services for the sole purpose outlined in these Terms or as mutually agreed between you and Osmo. For avoidance of doubt, these Terms permit you to use the Platform and Services for your internal or business use only, subject to the following restrictions:
We take claims of copyright infringement seriously. If you believe that any copyrighted material owned by you has been infringed upon by someone using the Platform, you may request removal of those materials from the Platform by submitting written notification to our Copyright Agent at support@thrivium.com. In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"), the written notice (the "DMCA Notice") must include substantially the following:
If you fail to comply with all of these requirements, your DMCA Notice may not be effective. Additionally, if you knowingly misrepresent that material or activity on the Platform is infringing your copyright, you may be held liable for damages under Section 512(f) of the DMCA.
It is our policy in appropriate circumstances to disable and/or terminate the accounts of users who are repeat infringers.
In the event that you provide us any ideas, thoughts, criticisms, suggested improvements, or other feedback related to the Services or the Platform (collectively "Feedback"), you agree we may use the Feedback to: (a) improve our Platform and the Services we offer through it and (b) promote the Platform and the Services, and that you will not be due any compensation for your Feedback that is used in these ways. To the extent that we have your name, likeness, or voice, this will be part of the Feedback and you agree that we may use your name, likeness and voice in the same manner that we can use other Feedback. You grant to us a worldwide, royalty-free, fully paid, perpetual, irrevocable license to use, reproduce, modify, translate, distribute, perform, display, import, sell, offer for sale, make, have made and otherwise exploit the Feedback in any form, media, or technology, whether now known or hereafter developed, and to allow others to do the same. This is true whether you provide the Feedback on the Platform or through any other method of communication with us, unless we have entered into a separate agreement with you that provides otherwise.
Osmo may use AI tools to support note-taking, insights, or content recommendations.

You can opt out of AI processing from the platform interface.
In the instance you use the Services to create AI-generated material, such materials may contain errors, omissions, misstatements, or may otherwise be incomplete. Osmo does not control the User Data collected or analyzed, nor does it control what a user chooses to provide the Platform access to, or how a particular user interprets any result of the Services through the Platform generated using AI tools. All users of the Platform must consider AI generated materials, in addition to all other available information before relying on or acting upon any such materials. Users are solely responsible for all effects, uses, and impacts of any AI generated materials.
The Platform may provide you with access to and/or integration with third party websites, databases, networks, servers, information, software, programs, systems, directories, applications, products, or services (hereinafter "External Services"), including such External Services belonging to you and our AI-powered features.
We do not have or maintain any control over External Services (including your External Services and/or the Platform's AI External Services) and are not and cannot be responsible for their content, operation, or use. By linking or otherwise providing access to any External Services, we do not give any representation, warranty, or endorsement, express or implied, with respect to the legality, accuracy, quality or authenticity of content, information, or services provided by such External Services. We disclaim any and all responsibility or liability for any harm resulting from your use of External Services (including your institution's External Services), and you hereby irrevocably waive any claim against us with respect to the content or operation of any External Services.
External Services may have their own terms of use and/or privacy policy, and may have different practices and requirements to those operated by us with respect to the Platform. You are solely responsible for reviewing any terms of use, privacy policy, or other terms governing your use of these External Services, which you use at your own risk. You are advised to make reasonable inquiries and investigations before entering into any transaction, financial or otherwise, and whether online or offline, with any third party related to any External Services.
To the fullest extent permitted by law:

You agree to defend, indemnify, and hold harmless Osmo, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, or your use of the Platform, including, but not limited to, your User Contributions, any use of the Services and Platform's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Platform.
The Services and Platform are provided "as is" and "as available."
Osmo makes no warranties or guarantees of any kind, including without limitation:
You use Osmo at your own discretion and risk.
THE SERVICES YOU MAY ACCESS ON OR THROUGH THE PLATFORM, AND THE PLATFORM GENERALLLY, MAY INCLUDE THE USE OF GENERATIVE ARTIFICIAL INTELLIGENCE, INCLUDING WITHOUT LIMITATION VIA A THIRD-PARTY GENERATIVE ARTIFICIAL INTELLIGENCE LARGE LANGUAGE MODEL, TO GENERATE OUTPUTS THAT ARE OR MAY BE BASED ON USER DATA AS SET FORTH HEREIN (COLLECTIVELY, "GENERATED MATERIALS"). GIVEN THE EXPERIMENTAL NATURE OF GENERATIVE ARTIFICIAL INTELLIGENCE, SUCH GENERATED MATERIALS MAY NOT MEET YOUR REQUIREMENTS OR MAY OTHERWISE BE INACCURATE OR OTHERWISE UNSUITABLE FOR YOUR SPECIFIC USE CASE. EACH USER SHOULD EVALUATE THE ACCURACY, RELIABILITY, FUNCTIONALITY, AND APPROPRIATENESS OF ANY GENERATED MATERIALS PROVIDED BY THE PLATFORM AS APPROPRIATE FOR YOUR SPECIFIC USE CASE, AND YOU WILL REMAIN SOLELY RESPONSIBLE FOR AND ASSUME ALL RISK IN CONNECTION WITH YOUR USE OF SUCH GENERATED MATERIALS. BY ACCESSING AND USING THE SERVICES AND THE PLATFORM, YOU ACKNOLWEDGE THAT: (A) THE GENERATED MATERIALS MAY BE SUBJECT TO LIMITED, OR NO, COPYRIGHT PROTECTION AND (B) THE GENERATED MATERIALS MAY NOT BE UNIQUE, AND THE SERVICES AND/OR PLATFORM MAY GENERATE THE SAME OR SIMILAR MATERIAL FOR OTHER USERS THE SERVICES AND PLATFORM UTILIZING THE GENERATIVE ARTIFICIAL INTELLIGENCE FEATURES AND OSMO WILL BE FREE TO PROVIDE THE SERVICES AND PLATFORM REGARDLESS OF ANY SIMILARITIES.
These Terms are governed by the laws of California, United States, without regard to conflict-of-law principles.
If a dispute arises, we ask that you contact us first to try to resolve it informally at our website at: https://www.osmo.coach.
If we cannot resolve the matter, disputes will be handled in the courts of Santa Clara County, California.
At Osmo's sole discretion, it may require you to submit any disputes arising from the use of these Terms or the Platform, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying California law.
Osmo complies with its Privacy Policy (available here) (the "Privacy Policy") in providing the Services. The Privacy Policy is incorporated into these Terms by reference and is subject to change as described therein. By accessing, using, and providing information to or through the Platform (including as part of the Services), you acknowledge that you have reviewed and accepted our Privacy Policy, and you consent to all actions taken by Osmo with respect to your information in compliance with the then-current version of our Privacy Policy.
If any part of these Terms is found invalid or unenforceable, the remaining sections remain in effect.
Failure to enforce a provision does not waive our right to enforce it later.
The Terms and any rights and licenses granted hereunder may not be transferred or assigned by you without our prior written consent, but may be transferred or assigned by us without restriction. Any assignment attempted to be made in violation of these Terms shall be void. These Terms shall be binding upon and inure to the benefit of the parties hereto, and their permitted successors, heirs, and assigns.
These Terms, and as applicable, any ancillary agreement for access to the Platform or Service entered between Osmo and your Organization, constitute the sole and entire agreement between you and Osmo with respect to the Platform and the Services and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Platform and the Services.
The Platform is operated by Thrivium Inc. doing business as "Osmo."
